CaptionPad Terms of Use

These Terms of Use (“Terms”) govern your use of CaptionPad devices (“Device”) provided by CaptionPad LLC (“Company,” “we,” “us,” or “our”). By purchasing or using the Device, you agree to these Terms.

1. Overview of the Device

CaptionPad is a physical device designed to provide real-time, on-device speech-to-text captions for in-person conversations. The Device processes audio locally and does not transmit data to external servers.

The Device is intended for informal, assistive use in everyday conversations.

2. Important Disclaimers About Accuracy

The Device uses automated speech recognition technology, which is inherently imperfect.

• Captions may contain errors, omissions, or delays
• The Device may misinterpret speech, especially in noisy or complex environments
• You should not rely on captions as an exact or complete representation of spoken words

You acknowledge that use of the Device is at your own risk.

3. Not for Critical or Professional Use

The Device is not designed, intended, or certified for:

• Medical or healthcare decision-making
• Legal, contractual, or financial matters
• Emergency or safety-critical situations
• Any scenario where inaccurate transcription could result in harm

Even if used in settings such as doctor appointments, the Device is provided solely as a convenience tool, not as a reliable record.

4. User Responsibility and Consent

You are solely responsible for:

• Informing all participants that speech may be captured and transcribed
• Obtaining any required consent under applicable laws
• Using the Device in compliance with all privacy and recording laws

By using the Device, you agree that you—not CaptionPad LLC—are responsible for any legal obligations related to audio capture or transcription.

5. Data Handling

• The Device processes audio locally only
• No audio or transcripts are transmitted to the internet
• Captions are temporary and automatically deleted
• Turning off the Device clears all displayed captions

While the Device is designed for ephemeral processing, we do not guarantee absolute data security.

6. Multi-User / QR Connectivity

The Device may allow multiple users to connect via local network or QR code.

You acknowledge:

• Connections are initiated by users who choose to join
• You are responsible for controlling access (including use of passwords, if enabled)
• Multiple audio sources may be processed simultaneously

You are responsible for ensuring that all participants are aware of and consent to such use.

7. Ownership and License Restrictions

You own the physical Device. However, the software embedded in the Device is licensed, not sold.

You may not:

• Modify, reverse engineer, decompile, or disassemble the software
• Attempt to extract source code or underlying models
• Use the Device in a way that violates applicable laws

8. Returns and Refunds

Our return policy is as follows:

14-Day Return Window (Unused Devices):

Unused Devices may be returned within 14 days of delivery for a full refund.

60-Day Risk-Free Trial:

You may return an undamaged Device within 60 days for any reason.

Shipping:

• Original shipping costs will be refunded
• Return shipping costs are the responsibility of the customer

Refunds may be denied if the Device is damaged beyond normal use.

9. Limitation of Liability

To the maximum extent permitted by law:

• CaptionPad LLC is not liable for any indirect, incidental, special, or consequential damages, including:
  • Miscommunication
  • Missed information
  • Personal, medical, or financial harm
• Our total liability for any claim is limited to the amount you paid for the Device

10. No Warranties

The Device is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including:

• Accuracy
• Reliability
• Fitness for a particular purpose

We do not guarantee uninterrupted or error-free performance.

11. Indemnification

You agree to indemnify and hold harmless CaptionPad LLC from any claims, damages, or liabilities arising from:

• Your use of the Device
• Your failure to obtain required consent
• Your violation of applicable laws

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California.

Any disputes shall be resolved through binding arbitration in California, except where prohibited by law. You waive the right to participate in class actions.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Device after changes constitutes acceptance of the updated Terms.
